These Terms and Conditions (“Terms”) govern your access to and use of www.cribspm.com and its pages, forms, content, and features (collectively, the “Site”).

The Site is operated by Cribs Property Management (“Cribs PM,” “we,” “us,” or “our”). References to “you” and “your” mean the person accessing or using the Site.

By accessing or using the Site, submitting a form, or otherwise interacting with the Site, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Purpose of the Site

The Site provides general information about Cribs PM, our property management approach, the markets we may serve, and related real estate services. It also allows property owners to request a property review, schedule a consultation, and contact us.

Site content is provided for general informational purposes only. It is not legal, tax, accounting, investment, insurance, lending, engineering, environmental, or other professional advice.

You should consult qualified professionals concerning your property, finances, legal obligations, taxes, insurance, investments, and other circumstances before making a decision.

2. No Property Management Relationship Created

Visiting the Site, submitting a property-review form, scheduling a consultation, or communicating with Cribs PM does not create a property management, brokerage, advisory, fiduciary, agency, or other professional relationship.

A property management relationship begins only after Cribs PM and the applicable property owner have signed a separate written property management agreement.

If there is a conflict between these Terms and a signed property management agreement, the signed property management agreement will control with respect to the services covered by that agreement.

3. Property Reviews and Consultations

A request for a property review does not guarantee that Cribs PM will review, inspect, accept, manage, purchase, list, improve, or provide services for a property.

All services are subject to availability, geography, property condition, property type, owner expectations, operational fit, compliance requirements, and Cribs PM’s independent review.

Any preliminary comments, observations, estimates, projections, or recommendations provided before a signed agreement are general and nonbinding. They may be based on incomplete or unverified information and should not be treated as a formal inspection, valuation, appraisal, legal opinion, or guarantee.

You remain responsible for independently verifying material facts concerning your property and obtaining appropriate professional advice.

4. Accuracy of Information You Provide

You agree that information you submit through the Site will be accurate, current, and complete to the best of your knowledge.

You may not impersonate another person, misrepresent your relationship to a property, submit information without authorization, or knowingly provide false or misleading information.

You represent that you have the right to provide any property, ownership, contact, tenant, document, or other information you submit to us.

Do not submit Social Security numbers, account passwords, complete banking credentials, medical information, or other highly sensitive information through a general website form.

5. Text Message Terms

After you reply STOP, we may send one final text confirming your opt-out. No additional automated text messages will be sent unless you subsequently provide new consent.

For assistance, reply HELP or contact us using the information provided below.

Delivery of text messages is subject to the operation and availability of wireless networks. Wireless carriers are not liable for delayed or undelivered messages. Cribs PM does not guarantee that every message will be received.

Your mobile information and SMS consent information will be handled as described in our Privacy Policy. We do not sell, rent, or share mobile numbers or SMS consent information with third parties or affiliates for their own marketing or promotional purposes.

6. Email and Electronic Communications

When you provide an email address, telephone number, or other contact information, you authorize us to respond to your inquiry using the communication methods you requested or otherwise permitted.

You consent to receive records, notices, appointment information, and other communications electronically where permitted by law.

You are responsible for maintaining accurate contact information and for protecting access to your email and communications accounts.

7. Permitted Use

Cribs PM grants you a limited, personal, revocable, nonexclusive, and nontransferable right to access and use the Site for lawful, personal, and informational purposes.

You may not:

• Use the Site for an unlawful or fraudulent purpose
• Attempt to gain unauthorized access to the Site, its servers, user accounts, or connected systems
• Circumvent or interfere with security, access controls, or bot protection
• Introduce viruses, malicious code, automated attacks, or other harmful technology
• Scrape, crawl, harvest, or collect Site data or contact information without written authorization
• Use automated systems to submit forms, create false leads, or place an unreasonable burden on the Site
• Impersonate Cribs PM, an employee, a client, or another person
• Submit content that is unlawful, threatening, abusive, defamatory, deceptive, infringing, or invasive of another person’s privacy
• Copy, reproduce, modify, distribute, sell, license, or commercially exploit Site content without permission
• Use our name, logo, or content in a manner that implies an unauthorized endorsement, sponsorship, or affiliation

We may restrict, suspend, or terminate access to the Site when we reasonably believe these Terms have been violated or when necessary to protect the Site, Cribs PM, our clients, or others.

8. Intellectual Property

The Site and its text, design, graphics, logos, photographs, videos, software, downloads, and other content are owned by or licensed to Cribs PM and are protected by applicable intellectual property laws.

“Cribs Property Management,” our logos, and associated branding may not be used without prior written permission, except for lawful nominative or descriptive use.

You may view and print reasonable portions of the Site for personal, noncommercial use, provided that you do not remove copyright, trademark, or other proprietary notices.

9. User Submissions

You retain ownership of information and materials you submit. However, you grant Cribs PM a limited right to use, reproduce, store, process, and share those materials as reasonably necessary to:

• Respond to your request
• Evaluate your property or service needs
• Communicate with you
• Provide requested or contracted services
• Operate and protect our business
• Comply with applicable law

Our collection and use of personal information are further described in our Privacy Policy.

10. Third-Party Services and Links

The Site and our communications may link to or use third-party services, including scheduling, virtual-meeting, electronic-signature, payment, mapping, communication, and property-management platforms.

Third-party services are governed by their own terms and privacy policies. Cribs PM does not control and is not responsible for third-party content, availability, security, accuracy, or practices.

A link or integration does not necessarily mean that Cribs PM endorses or guarantees the third party.

11. No Guarantees

Property operations and real estate outcomes are affected by numerous factors outside our control, including tenant behavior, market conditions, property condition, legal requirements, financing, insurance, vendors, repairs, weather, and economic conditions.

Nothing on the Site guarantees:

• A particular rental rate or occupancy level
• Approval of an applicant or tenant
• A specific repair cost or completion date
• An increase in property value or income
• A reduction in expenses
• A sale, refinancing, or investment result
• Acceptance of a property for management

Examples, case studies, testimonials, estimates, and historical results are illustrative and do not guarantee future performance.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

CRIBS PM DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT ITS INFORMATION WILL ALWAYS BE ACCURATE, COMPLETE, OR CURRENT.

Any material downloaded or otherwise obtained through the Site is accessed at your own discretion and risk.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CRIBS PM AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

• Your access to or use of the Site
• Your inability to access or use the Site
• Your reliance on Site content
• Errors, interruptions, or security incidents
• Third-party websites, services, or conduct
• Unauthorized access to or alteration of communications

This limitation applies regardless of the legal theory asserted and even if we were advised that damages were possible.

Where liability cannot be excluded, Cribs PM’s total liability arising from your use of the Site will not exceed the greater of the amount you paid specifically to access the Site or one hundred dollars ($100).

Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

14. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Cribs PM and its owners, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your unlawful or unauthorized use of the Site
• Your violation of these Terms
• Information or materials you submit
• Your infringement of another party’s rights

This provision does not require you to indemnify any party for conduct for which indemnification is prohibited by law.

15. Privacy

Our collection, use, disclosure, and protection of personal information are described in the Cribs Property Management Privacy Policy .

The Privacy Policy is incorporated into these Terms by reference.

16. Changes to the Site or These Terms

We may modify, suspend, or discontinue any portion of the Site at any time.

We may also update these Terms periodically. Updated Terms will be posted on this page with a revised “Last Updated” date.

Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms. If you do not agree to an update, discontinue use of the Site.

17. Governing Law and Venue

These Terms and your use of the Site are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any legal proceeding arising from these Terms or the Site must be brought in a state or federal court with jurisdiction in [INSERT COUNTY], New York, unless applicable law requires otherwise.

You and Cribs PM consent to the jurisdiction and venue of those courts.

18. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

19. Waiver

A failure by Cribs PM to enforce a provision of these Terms is not a waiver of that provision or our right to enforce it later.

20. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Cribs PM concerning your use of the Site.

These Terms do not replace or amend a separately signed property management agreement or other written contract.
